New Central Register of Beneficial Ownership for Irish Companies


The Companies Registration Office (CRO) is the statutory body responsible for the Central Register of Beneficial Ownership (RBO). The portal for submitting all the relevant information on the Beneficial Owners (BO) will go live on 22nd June 2019. Existing Irish companies will then have five months to submit the BO information to the RBO. With the last date for submission being the 22nd November 2019 (for companies incorporated before June 2019).

Who Needs to File Beneficial Ownership for Irish Companies?

a) Companies formed and registered in Ireland under the Companies Act 2014 or an existing company within the meaning of that Act, and

b) Industrial and provident societies registered under the Industrial and Provident Societies Acts 1893 to 2018

Time Frames for Existing Irish Companies to Register Beneficial Ownership Details

The Regulations came into effect on the 22nd March 2019, with immediate effect for companies/societies to create and maintain their own internal register. The Regulations in relation to the central RBO Register will come into effect three months after the commencement of the Statutory Instrument, on the 22nd June 2019. Companies/societies will have five months in which to file their Beneficial Ownership details with the RBO. Any company/society who has not filed on or before the 22nd November 2019, will be deemed to be late and may be subject to sanctions as prescribed in the Regulations.

Time Frames for new Irish Companies to Register Beneficial Ownership Details

All newly incorporated companies will be required to register their beneficial ownership details within five months of incorporation.

Exemptions From Access

The only exemption from access to beneficial ownership records by designated persons and the general public is for minors. Details of minors will be automatically withheld from public access until they reach the age of 18.
