REQUIREMENTS

  • It is a requirement that all Samoa companies have a Registered Office and a Registered Agent in Samoa.
  • There is no minimum capital requirement for an International Business Company
  • A minimum of one registered shareholder required. Bearer Shares are allowed.
  • A minimum of one director required. Corporate directors are allowed. Directors need not be resident in Samoa.
  • A Secretary needs to be appointed
  • Original Register of Directors and Register of Shares need to be kept at the Registered Office of the company .
  • There are no statutory or accounts filing requirements.
  • Annual Registration Renewals are due on 30 November.

MAINTENANCE SERVICES

Fees will be charged for any additional services performed at our normal rates. Such fees are usually based upon time spent with the complexity, urgency and responsibility involved and for work of an unusual or exacting nature. These fees are normally invoiced quarterly in arrears and invoices are payable upon receipt.
