REQUIREMENTS

  • A minimum of one director (corporate directors not permitted)
  • A minimum of two shareholders (“quota holders”), no share certificates or other documents are issued and quotas are evidenced only by the registration certificate from the commercial registry, accessible to any member of the public . Each quota must not be less than 100 Euros. All shares must be registered (Bearer shares not permitted).
  • The minimum capital for a Limitada is 5,000 Euros all of which must be paid up at the time of incorporation. The capital has to be deposited prior to incorporation and must be deposited with our agent in addition to the above fees.
  • Registered agent/registered office is required in Madeira
  • A Madeira company is a Portuguese company and must maintain books of account in the Portuguese language at the registered office on a monthly basis. Annual accounts and quarterly VAT returns must be filed. Madeira companies must follow strict rules relating to the preparation of accounts and invoicing. All transactions must be justified to the fiscal authorities and original supporting documentation must be held in our offices in Madeira (e.g. contracts, invoices and bank statements). If we provide professional directors all invoicing must be carried out by our staff in Madeira.

Where no Resident director is provided by our agent, an annual legal representation fee of £1,000 will be charged.
Minimum fee for Annual Accounting services provided by our agent will be £1,000.
General Powers of Attorney can be arranged (duly notarised and legalised) at a fee £150.00 + costs.

Maintenance Services

Fees will be charged for additional services performed at our normal rates. Such fees are usually based upon time spent and seniority of staff commensurate with the complexity, urgency and responsibility involved and for work of an unusual or exacting nature. These fees are normally invoiced quarterly in arrears and invoices are payable upon receipt.
