Requirements:

  • Registered office must be in Ireland.
  • There must be a minimum of two directors, one of whom must be resident in Ireland. If an Irish resident director is not appointed, a bond of €26,000 needs to be furnished in favour of the Companies Registration Office of Ireland.

  • Where Irish companies are unable to satisfy the "one Irish resident director" requirement, with or without using norminees, a cost effective alternative is to arrange a company bond to the value of €26,000 to cover potential future liabilities of the Company.
  • Corporations are not permitted to hold any office in the Company.

  • The company must file annual returns and audited accounts (no annual accounting reference date) within 18 months of incorporation.
  • Audit exemption is available to small companies (not to holding companies). Failure to file accounts and annual returns on time will result in late filing penalties as well as a compulsory audit requirement for a period of two years.
  • Corporation tax is 12.5% of the profits of a "trading company"

  • It takes 10 working days to incorporate a company in Ireland.

  • Proposed name(s) for approval. It is best to give several alternatives;

  • Amount and denomination of share capital;

  • Main objects;

  • Registered office address, which must be in Ireland;

  • Trading address, which must be in Ireland.
