REQUIREMENTS:
- Registered Office: All Danish companies must have a registered
office in Denmark. The statutory books however may be maintained
outside Denmark.
- Officers: A minimum of one director is required. There is no
requirement for a Company secretary to be appointed.
- Shareholder: Minimum of one
- Share Capital: Minimum paid up share capital of DKK 125,000
(approx £12,000). This amount must be paid into a bank account
in Denmark before the company can be incorporated. We can arrange
for this.
- Statutory audit: All companies, regardless of size, must have
a statutory audit and only Danish auditors registered with Danish
Commerce and Companies Agency can be appointed as auditors. Accounts
need to be filed with the Danish tax authorities annually.
- Statutory books: The statutory books must be held at the Registered
office of the company.
- Statutory Filing: Annual accounts must be filed with the authority
by 31 May.

Tax information:
A tax exemption is available from income from foreign subsidiaries
if the Danish company owns more than 25% of the stock in the foreign
subsidiary.
Moreover, dividends to the Danish company from the subsidiary are
exempt from withholding tax or subject to a modest holding tax as
regulated by international agreement.
Profits on the sale of shareholdings in other countries are free
of tax after 3 years.
Profits on Liquidation are free from Danish withholding tax.
