Requirements:

  • Must have a registered office in the State of New York.
  • A minimum of one director is required for a Corporation, and one manager for an LLC.
  • A minimum of one shareholder is required for a Corporation, and one member for an LLC.
  • The statutory books can be maintained outside New York.
  • No requirement to file accounts/tax return provided that LLC has non-resident members, conduct no business in the USA and has no USA source income.
