SETTING UP A BRANCH OF A FOREIGN COMPANY IN JAPAN (‘SHITEN’)

Requirements:

  • A foreign company wishing to establish business in Japan on a continuous basis must under the Commercial Code, establish a branch.
  • Establishment of a branch takes between 1 to 3 weeks
  • No separate legal identity from foreign company
  • At least on representative in Japan is required (must be resident)

REQUIREMENTS

  • It is a requirement that all Japanese companies have a registered office in Japan (POA)
  • A minimum of three directors of which one must be resident in Japan (representative director)
  • A minimum of one shareholder is required
  • Minimum paid up share capital is 10,000,000 Yen
  • There is no requirement for a Company secretary to be appointed.
